Terms of Service

I.Introduction; Agreement to These Terms of Service

Welcome to VNUE Live, a social network, streaming platform, and digital performance platform operated by RockHouse Live Media Productions, Inc., a Tennessee corporation (“VNUE Live,” “we,” “us,” or “our”). VNUE Live consists of websites, services, software applications, embeddable players, syndicated widgets, and related features and functionality (collectively, the “VNUE Live Service”).

These Terms of Service (the “Terms of Service” or “Terms”) constitute a legal agreement between you, whether you are an individual user who is at least 13 years of age or an entity (“you,” “your,” or “User”), and VNUE Live concerning your access to and use of the VNUE Live Service.

By accessing, visiting, or using the VNUE Live Service, you agree to be bound by: (1) these Terms of Service; (2) the VNUE Live Privacy Policy, available at [INSERT PRIVACY POLICY LINK] (the “Privacy Policy”), which is incorporated herein by reference; (3) the VNUE Live Terms of Sale (the “Terms of Sale”); and (4) the VNUE Live Broadcaster Agreement (the “Broadcaster Agreement”), if applicable to you.

The Privacy Policy describes VNUE Live’s policies and procedures regarding the collection, use, and disclosure of information received from Users. If you do not agree to these Terms of Service, the Privacy Policy, the Terms of Sale, or, where applicable, the Broadcaster Agreement, you should not access or use the VNUE Live Service.

VNUE Live reserves the right, in its discretion, to change, modify, add to, or remove portions of these Terms of Service at any time by posting amended Terms. VNUE Live will attempt to provide notice when material changes are made. You should review these Terms periodically. Your continued use of the VNUE Live Service after amended Terms are posted constitutes your acceptance of those changes.

II.Eligibility

The VNUE Live Service is not available to persons under 13 years of age or to Users who have previously been suspended or removed from the VNUE Live Service by VNUE Live.

BY USING THE VNUE LIVE SERVICE, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 13 YEARS OF AGE AND HAVE NOT BEEN PREVIOUSLY SUSPENDED OR REMOVED FROM THE VNUE LIVE SERVICE.

III.Ownership of Materials; Limited License

Except for User Submissions, as defined below, all data and materials available through the VNUE Live Service, including, without limitation, text, graphics, interactive features, logos, photographs, music, videos, software, audible and visual materials, and the selection, organization, coordination, compilation, and overall look and feel of the VNUE Live Service (collectively, the “Materials”), are owned by or licensed to VNUE Live.

The Materials are protected by copyright, trade dress, patent, trademark, and other applicable laws, international conventions, and proprietary rights. All ownership rights in the Materials remain with VNUE Live, its licensors, or its suppliers, as applicable.

All trademarks, service marks, and trade names appearing through the VNUE Live Service are proprietary to VNUE Live, its affiliates, or applicable third-party licensors.

Except as expressly authorized by VNUE Live, you may not sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise use the Materials.

If VNUE Live authorizes you to download or print Materials for personal use, you must retain all copyright, trademark, and other proprietary notices contained in those Materials.

VNUE Live reserves all rights not expressly granted in and to the VNUE Live Service and the Materials.

IV.Digital Millennium Copyright Act

It is VNUE Live’s policy to respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (the “DMCA”). VNUE Live may terminate, without notice, the access of any User determined by VNUE Live to be a repeat infringer.

If you are a copyright owner or an authorized agent of a copyright owner (a “Copyright Owner”) and believe that content available through the VNUE Live Service infringes your copyright, you may submit a notification pursuant to 17 U.S.C. § 512(c)(3).

A notification of claimed infringement must be submitted in writing to VNUE Live’s designated DMCA agent and include the following:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed or, if multiple copyrighted works are covered by a single notification, a representative list of those works; and
  3. Identification of the material claimed to be infringing or to be the subject of infringing activity and that is requested to be removed or disabled, together with information reasonably sufficient to permit VNUE Live to locate the material.

V.VNUE Live Service License Grant

VNUE Live enables certain Users referred to herein as “Broadcasters” to distribute and display streaming live video performances (“VNUE Live Performances”), textual and photographic comments (“Broadcaster Comments”), and personally identifiable information commonly referred to as a person’s name and likeness (“Broadcaster Name and Likeness”).

VNUE Live also enables certain Users referred to herein as “Viewers” to view VNUE Live Performances and create textual or photographic comments (“Viewer Comments”).

For purposes of these Terms, “Broadcaster” and “Viewer” do not necessarily refer to separate classes of Users. Instead, those terms describe the activities in which a User may engage.

VNUE Live Performances, Broadcaster Comments, Broadcaster Name and Likeness, Viewer Comments, and all other text, files, images, photographs, videos, sounds, musical works, works of authorship, applications, or other materials submitted, displayed, published, posted, or transmitted through the VNUE Live Service by Users are collectively referred to as “User Submissions.”

If you create a User account, and subject to your compliance with these Terms, VNUE Live grants you a personal, limited, non-exclusive, non-transferable, freely revocable license to access and use the VNUE Live Service for the distribution of User Submissions and other permitted uses of the VNUE Live Service.

User Submissions are streamed, stored, and distributed at your own risk. Although VNUE Live may employ measures intended to protect User Submissions, VNUE Live cannot guarantee that User Submissions will not be copied or distributed without authorization and will not be liable for unauthorized copying or use of User Submissions except as otherwise required by applicable law.

VI.Broadcaster and Viewer Content License Grant; Representations and Warranties

You are solely responsible for your User Submissions and the consequences of posting, publishing, transmitting, or otherwise distributing them.

In connection with your User Submissions, you represent and warrant that:

  1. You are the creator and owner of the User Submissions or have all licenses, rights, consents, releases, and permissions necessary to use the User Submissions and to authorize VNUE Live and its Users to use them in the manner contemplated by the VNUE Live Service, these Terms, and the Broadcaster Agreement, if applicable; and
  2. Your User Submissions do not and will not:
  1. infringe, violate, or misappropriate any third-party copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or other intellectual-property or proprietary right;
  2. slander, defame, or libel any person; or
  3. contain viruses, adware, spyware, worms, malicious code, or other harmful material.

With respect to public-performance rights in musical compositions licensed by Broadcast Music, Inc. (“BMI”), the American Society of Composers, Authors and Publishers (“ASCAP”), SESAC, Inc., or other applicable performing-rights organizations (collectively, the “PROs”), VNUE Live will pay royalties for which VNUE Live is responsible under its applicable licensing arrangements.

You retain ownership of your User Submissions.

However, by submitting, distributing, or disseminating User Submissions through the VNUE Live Service, you grant VNUE Live and its successors a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free license to host, transfer, display, perform, reproduce, distribute, compress, convert for streaming, create derivative works from, and otherwise use your User Submissions as reasonably necessary to operate, provide, publish, promote, market, and improve the VNUE Live Service and related services.

This license applies to any media format or technology now known or later developed and includes the right to use User Submissions in proximity to or in connection with third-party content.

VNUE Live may display advertising and promotional materials in connection with the VNUE Live Service. VNUE Live may enter into advertising, promotional, transaction-based, referral, revenue-sharing, or similar commercial arrangements with third parties. Except where VNUE Live expressly agrees otherwise, Users are not entitled to compensation or other benefits received by VNUE Live in connection with such arrangements.

You may not sell, upload, or display unauthorized advertisements, promotions, or business solicitations through the VNUE Live Service.

VNUE Live may use and display a Broadcaster’s name and likeness in connection with advertising, marketing, publicizing, promoting, and operating VNUE Live and the VNUE Live Service, subject to applicable law and any separate written agreement between the Broadcaster and VNUE Live.

By distributing User Submissions through the VNUE Live Service, you grant each User who is authorized to access those User Submissions a personal, non-commercial, non-transferable, non-exclusive license to access and view them through the functionality provided by the VNUE Live Service.

VII.Use of User Submissions and Credits

When using the VNUE Live Service, you may encounter User Submissions from a variety of sources. VNUE Live is not responsible for the accuracy, usefulness, safety, or intellectual-property rights of or relating to User Submissions except as otherwise expressly provided in these Terms or required by applicable law.

You acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, objectionable, or otherwise inappropriate.

VNUE Live does not endorse User Submissions or any opinion, recommendation, or advice expressed in them and expressly disclaims liability relating to User Submissions to the fullest extent permitted by law.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO WAIVE ANY LEGAL OR EQUITABLE RIGHTS OR REMEDIES YOU MAY HAVE AGAINST VNUE LIVE WITH RESPECT TO USER SUBMISSIONS AND AGREE TO INDEMNIFY AND HOLD VNUE LIVE, ITS OWNERS, OPERATORS, AFFILIATES, SUPPLIERS, AND LICENSORS HARMLESS AS PROVIDED IN THESE TERMS.

User Submissions are made available for your personal use through the normal functionality of the VNUE Live Service. Unless expressly authorized by VNUE Live or the applicable rights holder, User Submissions may not be copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, or otherwise exploited outside the functionality made available by the VNUE Live Service.

You may not circumvent, disable, or otherwise interfere with security features of the VNUE Live Service or features that prevent or restrict access to, use of, or copying of User Submissions.

Credits

VNUE Live may permit Users to purchase virtual credits (“Credits”) for use within the VNUE Live Service.

Credits constitute a limited contractual right to use VNUE Live features, obtain access to VNUE Live Performances, and purchase eligible virtual or tangible items offered through the VNUE Live Service. Credits are not a bank account, deposit account, cash account, or cash equivalent and have no cash value except as expressly required by applicable law.

Except where otherwise required by law or expressly determined by VNUE Live in its sole discretion, purchases of Credits and other virtual items are final and non-refundable.

Credits are subject to expiration after 90 day from the date of purchased if left unused.

Any purchase or use of Credits is also subject to the VNUE Live Terms of Sale.

VIII.Reserved

IX.Prohibited Conduct

BY USING THE VNUE LIVE SERVICE, YOU AGREE NOT TO:

  1. Use the VNUE Live Service for any purpose other than receiving, distributing, or accessing original or appropriately licensed content or otherwise using the VNUE Live Service as expressly permitted by VNUE Live.
  2. Rent, lease, loan, sell, resell, sublicense, distribute, or otherwise transfer any license granted under these Terms or any Materials except as expressly authorized by VNUE Live.
  3. Post, upload, transmit, or distribute defamatory, libelous, knowingly inaccurate, unlawful, or otherwise prohibited User Submissions or content.
  4. Assume a false or misleading identity in connection with your use of the VNUE Live Service.
  5. Post, upload, or distribute content that is unlawful or that a reasonable person could consider objectionable, offensive, indecent, pornographic, invasive of privacy, harassing, threatening, distressing, hateful, racially or ethnically offensive, or otherwise inappropriate.
  6. Post, upload, transmit, or distribute viruses, worms, Trojan horses, malicious code, or other programs or files designed to interrupt, damage, destroy, interfere with, or limit computer software, hardware, networks, or telecommunications systems.
  7. Impersonate any person or entity; falsely claim an affiliation with any person or entity; access another User’s account without permission; forge another person’s digital signature; misrepresent the source, identity, or content of information transmitted through the VNUE Live Service; or engage in similar fraudulent conduct.
  8. Send unsolicited offers, advertisements, proposals, junk mail, spam, bulk commercial messages, chain letters, unauthorized promotional materials, charity requests, petitions, or similar solicitations through the VNUE Live Service.
  9. Use the VNUE Live Service for any illegal purpose or in violation of any applicable local, state, federal, national, or international law, including laws governing intellectual property, proprietary rights, data protection, or privacy.
  10. Defame, harass, abuse, threaten, intimidate, or defraud Users or collect or attempt to collect personal information about Users or third parties without authorization or consent.
  11. Remove, circumvent, disable, damage, or interfere with security-related features of the VNUE Live Service or features that prevent or restrict access to, use of, or copying of content.
  12. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the VNUE Live Service or any part thereof, except to the extent expressly permitted by applicable law.
  13. Modify, adapt, translate, or create derivative works based upon the VNUE Live Service except to the extent expressly permitted by applicable law or authorized by VNUE Live.
  14. Intentionally interfere with or damage the operation of the VNUE Live Service or another User’s enjoyment of the VNUE Live Service.
  15. Relay email through a third party’s mail servers without that third party’s permission.
  16. Use robots, spiders, scrapers, or other automated means to access the VNUE Live Service in violation of these Terms or to bypass measures intended to prevent or restrict access.
  17. Manipulate identifiers to disguise the origin of User Submissions or other information transmitted through the VNUE Live Service.
  18. Interfere with or disrupt the VNUE Live Service, servers, or networks connected to the VNUE Live Service or violate the requirements, procedures, policies, or regulations of networks connected to the VNUE Live Service.
  19. Disrupt the normal flow of communications or otherwise interfere with another person’s ability to participate in real-time activities through the VNUE Live Service.

X.Accounts

When using the VNUE Live Service to upload or download content, make purchases, or access products, services, or information, you may be required to create an account and password.

You are responsible for maintaining the confidentiality of your account credentials and for restricting unauthorized access to your account. You agree to accept responsibility for activities occurring through your account to the extent permitted by applicable law.

You agree that information you provide to VNUE Live during registration and at other times will be true, accurate, current, and complete and that you will keep such information current.

If you believe your account is no longer secure, you must promptly notify VNUE Live.

You may be responsible for losses incurred by VNUE Live or others resulting from unauthorized use of your account where such unauthorized use results from your failure to reasonably protect your account credentials.

XI.Third-Party Sites, Products, Services, and Links

The VNUE Live Service may include links or references to third-party websites, products, applications, or services (“Third-Party Sites”).

Unless expressly stated otherwise, VNUE Live does not endorse or control Third-Party Sites or the information, materials, products, or services made available through them.

Your correspondence or business dealings with advertisers or other third parties found on or through the VNUE Live Service are solely between you and the applicable third party.

Your access to and use of Third-Party Sites and any information, materials, products, or services available through them is at your own risk.

XII.Termination; Terms of Service Violations

VNUE Live may, in its discretion and to the extent permitted by applicable law, suspend or terminate your account, your access to the VNUE Live Service, or any portion thereof if you violate these Terms, engage in fraudulent, abusive, harmful, or unlawful activity, or otherwise misuse the VNUE Live Service.

VNUE Live may also discontinue or modify the VNUE Live Service, or any portion thereof, at any time, subject to applicable law and any contractual obligations VNUE Live may have.

Where appropriate, suspected fraudulent, abusive, or illegal activity may be referred to applicable law-enforcement authorities.

These remedies are in addition to any other remedies available to VNUE Live at law or in equity.

You may terminate your use of the VNUE Live Service at any time by discontinuing use of the VNUE Live Service and, where functionality is provided, closing your account.

XIII.Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless VNUE Live, its affiliated companies, contractors, employees, officers, directors, agents, third-party suppliers, licensors, and partners from and against claims, losses, damages, liabilities, legal fees, and expenses arising out of or relating to:

  1. your use or misuse of the VNUE Live Service;
  2. your User Submissions;
  3. your violation of these Terms; or
  4. your breach of any representation, warranty, or covenant contained in these Terms.

VNUE Live reserves the right, at your expense where permitted by law, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to reasonably cooperate with VNUE Live in the defense of such claims.

VNUE Live will use reasonable efforts to notify you of any such claim, action, or proceeding after becoming aware of it.

XIV.Disclaimers; No Warranties

No Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VNUE LIVE AND ITS AFFILIATES, PARTNERS, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM VNUE LIVE OR THROUGH THE VNUE LIVE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

FOR PURPOSES OF THIS SECTION XIV, “VNUE LIVE” INCLUDES VNUE LIVE’S OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SHAREHOLDERS, AGENTS, LICENSORS, AND SUBCONTRACTORS.

“As Is,” “As Available,” and “With All Faults”

YOU EXPRESSLY AGREE THAT YOUR USE OF THE VNUE LIVE SERVICE IS AT YOUR OWN RISK.

THE VNUE LIVE SERVICE AND ANY DATA, INFORMATION, THIRD-PARTY SOFTWARE, CONTENT, INCLUDING USER SUBMISSIONS, SERVICES, APPLICATIONS, OR OTHER MATERIALS MADE AVAILABLE THROUGH OR IN CONNECTION WITH THE VNUE LIVE SERVICE ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED.

Service Operation and User Submissions

VNUE LIVE, ITS SUPPLIERS, LICENSORS, AFFILIATES, AND PARTNERS DO NOT WARRANT THAT THE VNUE LIVE SERVICE, ITS DATA, CONTENT, FUNCTIONS, OR OTHER INFORMATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT ANY DEFECTS WILL BE CORRECTED.

Accuracy

VNUE LIVE, ITS SUPPLIERS, LICENSORS, AFFILIATES, AND PARTNERS DO NOT WARRANT OR MAKE REPRESENTATIONS CONCERNING THE CORRECTNESS, ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION OR RESULTS OBTAINED THROUGH USE OF THE VNUE LIVE SERVICE.

Harm to Your Computer or Devices

YOU UNDERSTAND AND AGREE THAT YOU ACCESS, DOWNLOAD, OR OTHERWISE OBTAIN INFORMATION, MATERIALS, OR DATA THROUGH THE VNUE LIVE SERVICE AT YOUR OWN DISCRETION AND RISK AND THAT, TO THE EXTENT PERMITTED BY LAW, YOU ARE RESPONSIBLE FOR DAMAGE TO YOUR PROPERTY, COMPUTER SYSTEMS, DEVICES, OR DATA RESULTING FROM SUCH ACCESS OR DOWNLOADS.

Uploaded Content

VNUE LIVE MAY USE SECURITY MEASURES INTENDED TO PROTECT USER SUBMISSIONS. HOWEVER, VNUE LIVE DOES NOT GUARANTEE THAT SUCH SECURITY MEASURES CANNOT BE DEFEATED, CIRCUMVENTED, DISABLED, OR OTHERWISE COMPROMISED.

Internet and Service Interruptions

VNUE LIVE IS NOT RESPONSIBLE FOR INTERRUPTIONS IN ACCESS TO THE VNUE LIVE SERVICE RESULTING FROM INTERNET FAILURES, NETWORK FAILURES, THIRD-PARTY SERVICE FAILURES, MALWARE, VIRUSES, SECURITY EVENTS, OR OTHER EVENTS OUTSIDE VNUE LIVE’S REASONABLE CONTROL.

TO THE FULLEST EXTENT PERMITTED BY LAW, VNUE LIVE WILL NOT BE RESPONSIBLE FOR LOST REVENUE, LOST GOODWILL, REPUTATIONAL DAMAGE, OR OTHER LOSSES RESULTING FROM SUCH INTERRUPTIONS OR EVENTS.

XV.Limitation of Liability and Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VNUE LIVE AND ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, RELIANCE, OR EXEMPLARY DAMAGES, INCLUDING LOST BUSINESS, LOST REVENUE, LOST PROFITS, LOSS OF DATA, OR OTHER PECUNIARY OR NON-PECUNIARY LOSS ARISING OUT OF OR RELATING TO THESE TERMS, THE VNUE LIVE SERVICE, USER SUBMISSIONS, THIRD-PARTY SITES, OR YOUR INTERACTIONS WITH VNUE LIVE, EVEN IF VNUE LIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF VNUE LIVE AND ITS AFFILIATES, CONTRACTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, AND SUPPLIERS FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE VNUE LIVE SERVICE, OR YOUR INTERACTIONS WITH OTHER USERS, WHETHER IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO VNUE LIVE FOR ACCESS TO OR USE OF THE VNUE LIVE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED DOLLARS ($100.00).

Third-Party Sites

These limitations of liability also apply to damages arising from products or services sold, provided, advertised, or otherwise made available by third parties through or in connection with the VNUE Live Service or Third-Party Sites.

Basis of the Bargain

YOU ACKNOWLEDGE THAT VNUE LIVE HAS OFFERED ITS PRODUCTS AND SERVICES, SET ITS PRICES, AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH HEREIN.

YOU AGREE THAT THESE PROVISIONS REFLECT A REASONABLE ALLOCATION OF RISK BETWEEN YOU AND VNUE LIVE AND FORM AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN YOU AND VNUE LIVE.

Limitations Under Applicable Law

Some jurisdictions do not allow the limitation of implied warranties or the exclusion or limitation of certain damages. Accordingly, some of the disclaimers, exclusions, or limitations contained in these Terms may not apply to you, and you may have additional rights.

The exclusions and limitations contained in these Terms apply to the fullest extent permitted by applicable law.

XVI.United States Export Controls

You agree to comply with applicable United States export-control laws, restrictions, and regulations and the requirements of other applicable governmental authorities.

You may not export, re-export, transfer, or permit the export, re-export, or transfer of software, technical data, or other regulated materials obtained through the VNUE Live Service in violation of applicable laws or regulations.

Certain technical data, software, or commodities may require governmental licenses or authorizations before export or re-export.

Your rights under these Terms are conditioned upon your compliance with applicable export-control laws and regulations.

XVII.Miscellaneous

Notice

VNUE Live may provide notices to you by email, regular mail, notices displayed through the VNUE Live Service, or other reasonable means.

Notice sent by email will be deemed given twenty-four (24) hours after it is sent unless VNUE Live receives notice that the email address is invalid.

If you have provided a postal address, VNUE Live may provide legal notice by mail. Such notice will be deemed given three (3) days after mailing.

Notice posted through the VNUE Live Service will be deemed given twenty-four (24) hours after initial posting.

Prevention of Unauthorized Use

VNUE Live reserves the right to use lawful measures to prevent unauthorized access to or use of the VNUE Live Service, including technological barriers, access controls, IP-based security measures, and other reasonable security or enforcement measures.

Waiver

VNUE Live’s failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Any waiver must be in writing and signed by an authorized representative of VNUE Live.

Governing Law

These Terms of Service will be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict-of-laws principles.

Jurisdiction and Venue

To the fullest extent permitted by applicable law, any action at law or in equity arising out of or relating to these Terms or the VNUE Live Service must be brought in the applicable state or federal courts located in or serving Shelby County, Tennessee.

You consent to the personal jurisdiction and venue of those courts for purposes of resolving such disputes.

Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the validity and enforceability of the remaining provisions will not be affected.

Assignment

You may not transfer or assign these Terms or any rights or licenses granted to you hereunder without VNUE Live’s prior written consent.

VNUE Live may transfer or assign these Terms and its rights and obligations hereunder, subject to applicable law.

Any attempted assignment in violation of this provision is void.

Survival

Any provisions that by their nature or express terms should survive termination or expiration of these Terms will survive such termination or expiration.

Headings

Section headings are provided for convenience only and do not form part of these Terms or limit or affect the interpretation of any provision.

Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VNUE LIVE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE VNUE LIVE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.
